Terms of Service

1. Acceptance of Terms

By accessing and using Blade ERP ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you should not use the Service.

2. Description of Service

Blade ERP is a cloud-based enterprise resource planning (ERP) software designed specifically for foundries and manufacturing operations. The Service includes web-based applications, mobile applications, and related services.

3. User Accounts

To access certain features of the Service, you must register for an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and complete information

4. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Transmit harmful, offensive, or illegal content
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to our systems
  • Use the Service for competitive analysis or to build competing products
  • Share your account credentials with others

5. Subscription and Payment

The Service is provided on a subscription basis. Payment terms include:

  • Fees are charged in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change our fees with 30 days' notice
  • Failure to pay may result in service suspension or termination

6. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. You retain ownership of your data, and we will not access it except as necessary to provide the Service or as required by law.

7. Intellectual Property

The Service and its content are protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

8. Service Availability

While we strive for high availability, we do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance that temporarily affects service availability.

9. Limitation of Liability

To the maximum extent permitted by law, Blade ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold Blade ERP harmless from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

11. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will cease
  • You may download your data for a limited period
  • We may delete your data after the retention period
  • Surviving provisions will remain in effect

12. Changes to Terms

We may modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law principles.
